The new Canada Not-for-profit Corporations Act (NFP Act) establishes a new set of rules for federally incorporated not-for-profit corporations in Canada. These new rules will replace Part II of the Canada Corporations Act (old Act), the law that has governed federal corporations including CPF for nearly a century.
All organizations incorporated under the Canada Corporations Act, part II must transition to the Not-for-profit Corporations Act by October 17, 2014, or face dissolution. The Board has delegated coordination of the transition process to the CPF national office.
- The review of Letters Patent and By-laws has been completed by the Bylaws Committee.
- The new Articles of Continuance (transition) have been prepared; they are attached as Schedule A.
- Current CPF bylaws have been reviewed for compliance with new Act by Industry Canada and approved with 5 editorial amendments which incorporate mandatory phrases.
- The next step is to obtain members’ approval to continue the Corporation under the provisions of the new Act. A Special General Meeting will be held on Elluminate on Sunday May 4, 2014 at 7 p.m. Eastern time to consider, discuss, and vote on adoption and transition.
- Finally, we will submit the approved Articles to Industry Canada to obtain a Certificate of Continuance with the Articles of Continuance attached.
